Description: There are no obligatory prerequisite subjects, yet in order to facilitate active and efficient participation, base knowledge (or practical experience) regarding the following is recommended:

• the basic principles of legal regulation, general terms
• corporate law and the basic principles of civil law
• corporate economy, corporate cash flow planning, creating a business plan

The subject has been created and is taught by attorneys whose everyday job is to advise clients on making the right decisions in different stages of a company’s life cycle for ensuring economic success. The subject’s structure is also based on a life cycle of a company, beginning with a newly founded company and concluding with a full exit. In each stage, the main challenges for achieving success are discussed and potential solutions provided. The main focus in each stage is on matters related to managing a company, shareholder relations and company cash flow; and on the legal tools relevant to the aforementioned – e.g. a shareholders’ agreement (SHA), sale’s process activities and documentation (NDA, LOI, DD, SPA), financing documentation (e.g. different types of loan agreements, bonds, subscription agreement). As each process has a beginning and an end, matters related to insolvency and related claims cannot be neglected.

Evaluation: Pass/Fail. Needed active participation.

Intended learning outcomes:
Upon completion of the course the student:
• Understands the language used in M&A transactions;
• Understands the different stages of a company’s life cycle;
• Understands the instruments used for managing the company and raising capital in different stages of a company’s development.
